NAIS ng House Committee on Ways and Means na imbestigahan ang posibleng paglabag ng National Grid Corporation of the Philippines (NGCP) sa Republic Act 7042 na mas kilala sa tawag na Anti-Dummy Law.
Sa isinagawang pagdinig, inilatag ni Ways and Means committee chairman at Albay 2nd District Rep. Joey Salceda, ang mga agam-agam hinggil sa operasyon ng NGCP at ang pagkakaroon umano ng Chinese control sa nasabing kumpanya ng gobyerno.
Partikular na target silipin ni Salcedas ang paglabag sa constitutional restrictions hinggil sa foreign ownership ng public utilities.
Ang NGCP, na siyang namamahala at nag-o-operate ng power transmission grid ng bansa ay dapat magkaroon ng 60% Filipino ownership na kinakatawan ng Synergy Grid of the Philippines (SGP), habang ang 40% ay hawak ng State Grid Corporation of China (SGCC), isang state-owned enterprise na pinamamahalaan ng Chinese Communist Party.
Gayunpaman, napag-alaman na may dalawang layers ng subsidiaries ang SGP para sa indirect ownership ng NGCP.
“While the NGCP has denied that it is controlled by the [SGCC], and that it has no executives that are Chinese nationals, its Chairman is Chinese, a top official of the SGCC, despite [SGP] supposedly being a larger shareholder than the [SGCC],” diin ni Salceda.
Nabatid na sa pamamagitan ng share-swap deal ng OneTaipan Holdings Inc. at Pacifica2 Holdings ay napunta sa SGP ang 60% voting rights sa NGCP. Ang OneTaipan ay pagmamay-ari ng Monte Oro Grid Resources Corp., na hawak ang 30% stake sa NGCP habang ang Pacifica2, na nagmamay-ari ng Calaca High Power Corp., na siyang may hawak ng isa pang 30 percent.
Ayon kay Salceda, sa ilalim ng ‘grandfather rule’ ng Korte Suprema, ang paghahati ng SGCC, Monte Oro Grid Resources, at Calaca High Power sa NGCP ownership ay marapat na mabusisi.
“We must look into the citizenship of the individual stockholders, i.e., natural persons, of that investor corporation to determine if the constitutional and statutory restrictions are complied with,” giit ni Salceda.
“If the shares of stock of the immediate investor corporation is in turn held and controlled by another corporation, then we must look into the citizenship of the individual stockholders of the latter corporation,” dagdag niya.
Binanggit din ni Salceda ang mga bumubuo sa Board of Directors ng NGCP, na kinabibilangan ng ilang Chinese nationals at humahawak ng mataas na posisyon.
Ito ay sina NGCP Board Chairman Zhu Guangchao (Chinese); Vice Chairmen Robert Coyiuto Jr. (Filipino) at Henry Sy Jr. (Filipino); President/CEO Anthony Almeda (Filipino); at Directors Jose Pardo (Filipino), Francis Chua (Chinese), Shan Shewu (Chinese), Liu Ming (Chinese), Liu Xinhua (Chinese), at Paul Sagayo Jr. (Filipino).
Ani Salceda, base sa pahayag ng ilang official Chinese government sources, ipinahayag ng SGCC na nakuha nito ang “right to run” ng Philippine power grid.
Mismong SGCC officials ang napabalitang ipinangangalandakan na ang naturang Chinese entity ay may malalim na kaugnayan sa pagpapatakbo ng overseas holdings nito, kabilang ang pangunahing operational at senior management decisions.
Ayon kay Salceda, sa ilalim ng Anti-Dummy Law ay ipinagbabawal ang non-Filipino nationals na mamahala, mag-operate, at magkaroon ng control sa nationalized o partially nationalized activity.
“For violations of the Anti-Dummy Law, the penalty of forfeiture of ‘such right, franchise, privilege, and the property or business enjoyed or acquired in violation of the provisions of this Act’ may be imposed,” pahabol pa ng kongresista. (Romeo Allan Butuyan II)
